Pune, June 29: Persistent Systems has announced plans to acquire German digital engineering company Nagarro SE in a €1.1 billion (₹11,820 crore) deal, marking one of the largest overseas acquisitions by an Indian IT services firm.
The acquisition will be carried out through Galaxy Germany Holding SE, a wholly owned subsidiary of Persistent Systems, which has launched a voluntary public takeover offer to acquire all outstanding shares of Munich-based Nagarro for €81 per share.
The move follows the signing of a Business Combination Agreement between the two companies and is aimed at creating a global AI-led digital engineering and enterprise modernisation company with a stronger presence across North America, Europe and other international markets.
Nagarro, which employs around 18,500 professionals across 40 countries, generated approximately €1 billion in revenue during calendar year 2025. The company has established expertise across industrial, consumer, telecommunications, media, technology (TMT), and banking, financial services and insurance (BFSI) sectors.
Following the acquisition, the combined entity will have a revenue base of approximately $2.9 billion and a workforce of more than 46,000 employees operating across over 40 countries.
Persistent said the merger will significantly strengthen its capabilities in artificial intelligence, digital engineering, cloud services, enterprise resource planning (ERP), customer experience (CX), and data-driven transformation, enabling it to better serve multinational enterprise clients through integrated global delivery models.

Persistent CEO Sandeep Kalra described the transaction as a major milestone in the company’s strategy to build a globally scaled, engineering-led technology services business focused on AI-driven enterprise transformation.
The acquisition is expected to enhance Persistent’s international footprint while strengthening its position in the rapidly growing AI and digital engineering services market.
